1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the uSoma platform and services ("Services"), operated by Employy Group LLC ("Company," "we," "us," or "our"), a Delaware limited liability company headquartered in Atlanta, Georgia.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

uSoma is an online tutoring platform that connects learners with qualified African tutors for personalized educational sessions. Our Services include:

  • Online tutoring sessions via video conferencing
  • Tutor matching based on subject, learning style, and availability
  • Session scheduling and management tools
  • Progress tracking and reporting for parents/guardians
  • Interactive learning tools including whiteboards and screen sharing

3. Account Registration

To use our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

If you are registering on behalf of a minor, you represent that you are the parent or legal guardian of that minor and have the authority to bind them to these Terms.

4. Subscription Plans and Payment

uSoma offers various subscription plans with different tutoring hour allocations. By subscribing to a plan, you agree to:

  • Pay all fees associated with your selected plan
  • Provide valid payment information
  • Authorize recurring charges for subscription renewals

Billing: Subscriptions are billed monthly in advance. Additional hours may be purchased at the prevailing rate.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

Unused Hours: Unused tutoring hours roll over to the next month within your subscription period but expire upon cancellation.

5. Session Policies

Scheduling: Sessions must be scheduled through our platform. We recommend booking sessions at least 24 hours in advance.

Cancellation/Rescheduling: Sessions may be cancelled or rescheduled up to 24 hours before the scheduled start time without penalty. Late cancellations or no-shows may result in the session being deducted from your available hours.

Technical Requirements: You are responsible for ensuring you have adequate internet connectivity and compatible devices for video sessions.

6. User Conduct

You agree not to:

  • Use the Services for any unlawful purpose
  • Harass, abuse, or harm tutors or other users
  • Attempt to circumvent the platform to engage tutors directly
  • Share account credentials with others
  • Record sessions without express consent from all parties
  • Upload or transmit viruses or malicious code
  • Interfere with the proper functioning of the Services

7. Intellectual Property

The Services, including all content, features, and functionality, are owned by Employy Group LLC and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

Materials provided during tutoring sessions are for personal educational use only and may not be redistributed or used commercially.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding your personal information.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that tutoring will result in specific academic outcomes. Results vary based on individual effort, attendance, and other factors.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMPLOYY GROUP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Employy Group LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Services or violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in Atlanta, Georgia, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

14. Termination

We may terminate or suspend your account and access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
